Terms of Use

Effective Date: July 29, 2026


These Terms of Use (“Terms”) govern your access to and use of www.cognyse.com and any related pages, content, or services made available by Cognyse IT Services Private Limited (India), together with its affiliates and branch operations in the United States and Canada (collectively, “Cognyse,” “we,” “us,” or “our”) (collectively, the “Site”). By accessing or using the Site, you (“User,” “you”) agree to be bound by these Terms. If you do not agree, please do not use the Site.


1. Changes to These Terms

We may update these Terms from time to time to reflect changes in our services, business practices, or applicable law. The “Effective Date” above will indicate when they were last revised. Your continued use of the Site after changes are posted constitutes your acceptance of the updated Terms. We encourage you to review this page periodically.


2. Eligibility

The Site is intended for business and professional use and is not directed at children. By using the Site, you represent that you are at least 18 years old, or the age of majority in your jurisdiction, and that you have the legal capacity to enter into these Terms.


3. License to Use the Site

Subject to your compliance with these Terms, Cognyse grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Site for your own personal or internal business informational purposes. This licence does not include any right to:

  • Copy, reproduce, republish, modify, or create derivative works from any content on the Site;
  • Distribute, transmit, publicly display, or sell any content, software, or materials obtained from the Site;
  • Use any automated means (bots, scrapers, or similar tools) to access or extract data from the Site; or
  • Interfere with, disrupt, or attempt to gain unauthorised access to the Site, its servers, or any connected network.


All rights not expressly granted to you in these Terms are reserved by Cognyse.


4. Intellectual Property

All content on the Site — including text, graphics, logos, images, video, audio, software, and the design and “look and feel” of the Site — is the property of Cognyse or its licensors and is protected by applicable intellectual property laws. The Cognyse name, logo, and associated marks are trademarks of Cognyse and may not be used without our prior written consent. Unauthorised use of any content or trademarks on the Site may result in civil and/or criminal penalties.


5. User Submissions and Content

The Site may include blogs, articles, case studies, or comments contributed by Cognyse employees, consultants, partners, or customers (“Contributed Content”). Contributed Content reflects the personal views of its author and does not necessarily represent the official position of Cognyse or the author’s employer. Cognyse retains ownership of Contributed Content published on the Site, unless otherwise agreed in writing.

If you submit any feedback, ideas, or other materials to us through the Site, you grant Cognyse a non-exclusive, royalty-free, worldwide licence to use, reproduce, and act upon that submission without any obligation to compensate you.


6. Acceptable Use

You agree not to use the Site to:

  • Violate any applicable law or regulation;
  • Transmit any malicious code, virus, or harmful component;
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
  • Harvest or collect information about other users without their consent; or
  • Engage in any activity that could damage, disable, or impair the Site or interfere with any other party’s use of it.


7. Third-Party Links and Content

The Site may contain links to third-party websites or content that are not owned or controlled by Cognyse. We are not responsible for the availability, accuracy, or content of any third-party site, and inclusion of a link does not imply endorsement. Your use of any third-party website is at your own risk and subject to that site’s own terms and privacy practices.

9. Disclaimers

10. Limitation of Liability

To the fullest extent permitted by applicable law, Cognyse and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or business interruption, arising out of or relating to your use of, or inability to use, the Site, even if advised of the possibility of such damages. Nothing in these Terms is intended to limit any liability that cannot be excluded or limited under applicable law.


11. Indemnification

You agree to indemnify, defend, and hold harmless Cognyse and its affiliates, officers, employees, and agents from and against any claims, losses, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Site or your violation of these Terms.


12. Termination

Cognyse may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including if we believe you have violated these Terms. Provisions of these Terms that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and indemnification — will continue to apply after termination.


13. Changes to the Site

Cognyse reserves the right to modify, suspend, or discontinue any part of the Site, including its content or features, at any time and without liability to you.


14. Governing Law and Dispute Resolution

These Terms are governed by the laws of India, without regard to conflict of law principles, and any disputes arising from or relating to these Terms or your use of the Site shall be subject to the exclusive jurisdiction of the courts at [City], India, except where applicable local law in your jurisdiction (including in the United States or Canada) requires otherwise. Where you access the Site as a business customer contracting with a specific Cognyse entity, the governing law and dispute resolution terms of your applicable services agreement with that entity will prevail over this Section for matters relating to that agreement.


15. Export Control and Compliance

You agree to use the Site in compliance with all applicable export control, sanctions, and trade laws, and represent that you are not located in, or a resident of, any country or region subject to comprehensive trade sanctions, and are not on any restricted party list under applicable law.


16. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy and any applicable service agreement, constitute the entire agreement between you and Cognyse regarding use of the Site.
  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
  • No Waiver: Our failure to enforce any provision of these Terms shall not be deemed a waiver of that or any other provision.
  • Assignment: You may not assign or transfer your rights under these Terms without our prior written consent; Cognyse may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.
